2. Description of Service
AxiVentory provides a comprehensive business management platform encompassing inventory management, sales tracking, order processing, supplier coordination, and various ancillary business tools. The specific features, functionality, and availability of services may vary and are subject to modification, suspension, or discontinuation at any time without prior notice or liability. The Company reserves the right to alter, enhance, or limit any aspect of the Service as deemed necessary for operational, technical, or business purposes.
3. Trial Period and Service Access
The Company may offer a complimentary trial period of seven days, during which users are granted access to platform features without requiring payment information. This trial period is provided on an "as-is" basis and automatically expires upon conclusion of the designated timeframe. Users may discontinue use at any point during the trial period. The Company reserves the right to modify, limit, or revoke trial access at its discretion, and no representations or guarantees are made regarding the availability or continuation of trial offerings.
4. User Obligations and Conduct
Users are solely responsible for providing accurate, current, and complete information during registration and throughout their use of the Service. You agree to maintain the confidentiality and security of your account credentials and accept full responsibility for all activities occurring under your account. Users must ensure their use of the Service complies with all applicable local, national, and international laws, regulations, and industry standards. Any use of the Service that interferes with, disrupts, or places undue burden upon the platform's infrastructure or other users' experience is strictly prohibited. The Company reserves the right to determine, in its sole discretion, what constitutes inappropriate or unauthorized use.
5. Data Rights and Usage
Information collection and usage practices are outlined in our Privacy Policy, which forms an integral part of these Terms. While users maintain certain rights to their inputted data, the Company retains unrestricted rights to collect, aggregate, anonymize, analyze, and utilize user data for operational improvements, analytical purposes, service development, and business intelligence activities. The Company may share aggregated or anonymized data with third parties for any purpose. Users acknowledge that data export tools are provided as a courtesy and may be subject to limitations, formatting constraints, or availability restrictions. The Company will retain historical data for up to six (6) months for operational and reporting purposes; thereafter such historical data will be purged unless otherwise agreed in writing between the Company and the user.
6. Service Availability and Performance
While the Company endeavors to maintain reliable service availability, no guarantees are made regarding uptime, performance, accessibility, or uninterrupted operation of the platform. The Service may experience periods of unavailability due to maintenance, technical difficulties, circumstances beyond the Company's reasonable control, or other factors. Scheduled maintenance may or may not be announced in advance. The Company shall not be held responsible for any disruptions, delays, data transmission failures, or service interruptions, regardless of cause or duration.
7. Intellectual Property and Proprietary Rights
All aspects of the Service, including but not limited to its design, structure, code, content, features, functionality, interfaces, and underlying technology, constitute proprietary property of AxiVentory and its licensors. No other rights or licenses are granted, whether expressly or by implication, and all rights not explicitly granted herein are reserved by the Company.
8. Limitation of Liability and Disclaimers
To the fullest extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of or inability to use the Service. This includes, without limitation, damages for loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, even if the Company has been advised of the possibility of such damages. The Company disclaims responsibility for any losses resulting from user actions, data inaccuracies, system errors, unauthorized access, security breaches, third-party content, technical malfunctions, or any other circumstances regardless of origin. Users acknowledge that they utilize the Service entirely at their own risk and discretion.
9. Account Termination and Service Modification
The Company reserves the right to suspend, terminate, or restrict access to user accounts or any portion of the Service immediately and without prior notice, for any reason or no reason, including but not limited to suspected violations of these Terms, non-payment, extended inactivity, or operational considerations. The Company may also modify, discontinue, or impose limitations on features, functionality, storage capacity, or any other aspect of the Service at its sole discretion. No liability shall attach to the Company for any such actions, and users shall have no recourse for compensation or damages resulting from account termination or service modifications.
10. Interpretation and Modifications
The Company's interpretation of these Terms, including any ambiguities or disputes regarding their application, shall be final and binding. These Terms may be updated, revised, or modified at any time without individual notice to users, and such changes become effective immediately upon posting. Continued use of the Service following any modifications constitutes acceptance of the revised Terms.
